1. Who you are contracting with
MediaMiner is operated by Francesco Cifardi ("MediaMiner", "we", "us"). By creating an account, accessing, or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
2. Eligibility and account
You must be of legal age in your jurisdiction to enter into a contract. If you use the service on behalf of an organisation, you confirm you have authority to bind that organisation. You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and keep it current.
3. The service
MediaMiner is a software-as-a-service platform that helps you collect, organise, analyse, and create ad ideas, including AI-assisted analysis and generation features. We may add, change, or remove features at our discretion.
4. Licence and restrictions
We grant you a limited, non-exclusive, non-transferable, revocable right to use the service in accordance with these Terms and your subscription plan. You must not:
- use the service unlawfully or for fraud, spam, or abuse;
- infringe intellectual property or privacy rights of others;
- interfere with security, probe, scrape, or upload malware;
- reverse-engineer, decompile, resell, or redistribute the service;
- circumvent technical limits, quotas, or access controls.
5. AI-generated content
The service includes AI-assisted features. You are responsible for your prompts and inputs, for verifying the accuracy and suitability of outputs, and for ensuring you have the rights to any content you submit. Outputs may be inaccurate, incomplete, or unsuitable; they are not professional advice (legal, financial, medical, or otherwise). You must not use the service to generate illegal content, deepfakes, hate speech, harassment, malware, or content designed to deceive or harm. We may filter, refuse, or remove outputs and may suspend accounts that repeatedly violate this section. We will respond to good-faith takedown requests at support@mediaminer.io.
6. Your content
You retain ownership of content you submit. You grant us a limited licence to host, store, transmit, and process your content solely to operate and improve the service.
7. Intellectual property
The service, including its software, design, and branding, is owned by MediaMiner and its licensors and is protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
8. Payments, subscriptions, and Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms in addition to our Refund Policy.
Subscriptions renew automatically at the end of each billing cycle until cancelled. You can cancel at any time via the customer portal at paddle.net.
9. Service availability
We work to keep the service available but do not guarantee uninterrupted or error-free operation. The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
10. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the service and cancel your subscription at any time. On termination, your access ends; you may request export of your data within a reasonable period, after which we may delete it.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud, death, or personal injury caused by negligence).
12. Indemnity
You agree to indemnify and hold MediaMiner harmless from claims arising out of your content, your use of the service in breach of these Terms, or your violation of applicable law or third-party rights.
13. Changes to the Terms
We may update these Terms from time to time. Material changes will be notified through the service or by email. Continued use after an update constitutes acceptance.
14. Governing law
These Terms are governed by the laws of Germany, without regard to conflict-of-law rules. The courts of Germany have exclusive jurisdiction over any dispute, subject to mandatory consumer protections in your country of residence.
